Sales Agreement

PREAMBLE
Please read carefully these Terms of Sale (the "Terms"). These Terms apply to you and to your purchase of any Bangoshi Tea Company product ("Bangoshi") through the website, located at www.bangoshi.com (the "Website"), except if you have entered into another written agreement with Bangoshi that supersedes all or any of these conditions.
Moment. By placing an order for products through the Website, you agree to the Terms in effect at the time of this order.
Conditional sale. All sales are conditional upon your agreement to these Terms, in addition to the Bangoshi’s Terms and Conditions and of Bangoshi's privacy policy.
ARTICLE 2
CLIENT ACCOUNT
Confidentiality and responsibility. When you make a purchase on the Website, you can create an account during the validation of your transaction. It is your responsibility to keep your password confidential and to restrict access to your account and password.
You agree to (a) create a single account; (b) provide accurate, truthful, current and complete information when you create your account; (c) maintain and update quickly your account information; (d) preserve the security of your account by not sharing your password with others and limiting access to your account and your computer by others; (e) promptly notify Bangoshi if you discover or suspect a breach of Website’s security; And (f) assume responsibility for all activities conducted under your account and accept all risks associated with unauthorized access. If charges are filed or damages are claimed due to your lack of reasonable attention with respect to your customer account or password, you agree to be recognized as the sole responsible person.
ARTICLE 3
ACCPETANCE OF AN ORDER
Purchase order. The order form is an integral part of the agreement between Bangoshi and you. The order form contains information specific to your order at Bangoshi including: a detailed description of each product or service covered by the contract, a detailed statement of the price for each product or services covered by the contract (taxes, delivery method, delivery charges) the name of the carrier, the place of delivery and the total of the amounts that the consumer must pay.
Cancellation. When placing an order, it is not guaranteed that it will be accepted. We reserve the right to cancel any order in accordance with the provisions of this Agreement. In addition, before accepting your order, we may ask you for additional information if you have not provided all the necessary information to process your order.
The availability of the ordered product, the ability to ship to the place designated by the customer, acceptance of payment by your credit card provider or other third party payment service provider, as well as the accuracy of displayed prices and promotions on the Website Bangoshi.com are among the reasons for the cancellation of an order. We reserve the right to cancel orders when information has been incorrectly published, including prices or promotions.
If your order is declined, you will receive an e-mail to that effect. If your order is refused or canceled due to payment, Bangoshi will refund the full amount paid to you.
Availability. Our offers are valid while stocks last. In case of unavailability of the product after placing your order, we will contact you as soon as possible to find a solution, such as:
- shifting the delivery pending replenishment of this product, where possible;
- replacement of the product with an equivalent in quality and price;
- cancellation of your order.
Limit of quantity. We reserve the right to impose quantity limits on orders. These limits will be displayed before finalizing the order.
ARTICLE 3
PRICE AND PAYMENT
Price. You are responsible for paying the total amount of your order, including the price of each goods or services covered by the contract, taxes on your order and shipping costs.
Payment. In order for the order to be accepted, the order must be accompanied by the payment in full or by a method of payment pre-approved by Bangoshi. We accept payments by Visa and Mastercard as well as PayPal payments. By placing your order, you affirm and warrant that you are authorized to use the credit card in question. You authorize us to debit the total amount of your order (including taxes and shipping and handling) from this card. If the card cannot be verified, is invalid or is rejected for any other reason, your order may be automatically interrupted or canceled. The third party credit card service provider must approve any purchase made with a credit card. When a completed order is received, with the authorization of your payment method, and has been accepted, we place it in queue for shipping.
ARTICLE 4
SHIPPING
Notice. If an ordered item is damaged during shipment, is incorrect or missing, you must immediately contact Bangoshi. To contact us, please email hey@bangoshi.com .
Shipping costs. You are responsible for shipping costs, unless these are canceled or reduced by Bangoshi. Shipping costs will be displayed on your invoice and can be reviewed before the validation of your order. If the shipping costs change as a result of the conclusion of your order you will be notified as soon as possible and have the opportunity to request the cancellation of the order and refund of the fees already paid if the new shipping costs do not suit you.
Delivery method. Bangoshi will deliver your order according to the delivery method chosen by you, from the options available.
Delivery delay. The expected arrival date of your order should be considered as a simple estimate and Bangoshi will not be liable for damages due to delivery delays. We try to transfer your orders in stock within (5) business days to our third party shipping providers. Delivery times are then managed by third party shipping providers. We do our best to ensure that you receive your order as soon as possible.
Conformity. You agree to abide by all export laws of Canada that apply to products purchased or received under this agreement.
Transfer of risks. Bangoshi uses the services of third party shipping service providers to ship your products to you. If you order is damaged in transportation, please contact hey@bangoshi.com.
Remote areas. We ship to addresses in Canada, unless it is commercially impossible. Bangoshi may be unable to deliver in some remote areas. Bangoshi reserves the right to cancel orders when there is no commercially reasonable transportation option.
ARTICLE 5
PRODUCTS
Products description. Bangoshi does everything in its power to ensure the utmost accuracy on the site. However, Bangoshi does not warrant that the content on the Bangoshi.com website is accurate, complete, reliable, up-to-date or error-free. The photographs illustrating the products are presented for illustrative purposes only. If a product offered by Bangoshi is not as described, please notify our customer service at hey@bangoshi.com.
ARTICLE 6
RETURNS AND EXCHANGES
Notice. If one of our products is not up to your expectations, we would like to know. Therefore, please send an email directly to hey@bangoshi.com , including your order number and the reason for your dissatisfaction. If your order is incomplete, incorrect or damaged, please contact us by email.
Returns. Unfortunately, all sales of edible items are final, definitive and are not eligible for returns. All sales of discounted items are final. As for items that are not edible, we will exchange or refund your purchase. In order to be eligible for an exchange or a refund, items must be returned within 40 days of receipt of your order as advertised by the Canada Post, USPS, or courier service number used in the initial delivery. Please contact us to confirm if you would like an exchange or refund. The delivery of the return is at your expense. All returned items must be in their original condition, with no sign of use. We will refund your order within 15 working days of return of the goods. If you wish to obtain an exchange, you will be responsible for paying the transportation costs to obtain the property resulting from the exchange (the "Replacement Property"). We offer to exchange your order for a property of the same value presented on the Site. You are responsible for paying the difference if the Replacement Property is worth more than the exchanged property, and vice versa we will reimburse you the difference if the Replacement Property has a lower value to the exchanged good.
Reimbursement method. Please note that refunds will only be credited to the credit or debit card used, or to the account used in the original purchase.
ARTICLE 6
ENGAGEMENT, RESPONSIBILITY AND REPRESENTATIONS
Resale. You agree not to resell the products purchased under this agreement or to transfer your rights hereunder without the prior written consent of Bangoshi.
Representative. If you use the Sites on behalf of any entity, you represent and warrant that you are authorized to accept these Terms on behalf of such entity.
Quality. Bangoshi ensures that the products offered on the Website can be used for the purpose for which they are normally intended. The property subject of this contract will be used for normal use for a reasonable period of time, having regard to its price, the provisions of the contract and the conditions of use of the property.
Bangoshi does not make any additional representation or warranty. Bangoshi makes no representation about the benefits of its products. The products supplied by Bangoshi are not medicines. Bangoshi makes no representation regarding the treatment, prevention or cure of a disease, disorder or physical condition, or for the correction, restoration or modification of an organic function to using its products.
Limitation of Liability. While we do our best to update and update the content of the website, errors and / or omissions may occur. Bangoshi.com might also not be up to date. Photos taken for advertising purposes are for your convenience only. The information published on the site may refer to products, programs or services that are not available in your jurisdiction. Bangoshi is not liable for the consequences of the misuse of its products, as well as the facts and faults of third parties relating to the provision of services.
ARTICLE 7
GENERAL CONDITIONS
Divisibility. If any of the Terms of the Sales Agreement were to be held by competent Court of law to be invalid, unlawful or unenforceable for any reason, such condition shall be considered severable and shall not affect the validity and enforceability of the other terms.
Jurisdiction and compliance with laws. The present Agreement is governed by the applicable laws of Canada and laws of the Province of Quebec.
Successors and Assigns. The rights and obligations created herein are valid and enforceable between the parties. The Agreement binds and benefits the parties and their successors, assigns and directors.
